What US LLC Formations Actually Look Like

Last updated 26 July 2026
A lit architectural model of a city skyline on a desk

A US company for a non-resident runs on two clocks. The state registration is the fast one: in the published record, Wyoming approvals land within a day to a few days of the name being settled.

The wait everyone fears is the second clock, the EIN, the company's tax number from the IRS.

Here is what the record actually shows: EINs issued 4, 5, 6, 7, 8, 9, 10, 11 and 12 days after filing, case after case, with one slower case completing in under a month.

Every number below is taken from client messages First Class Citizen published on the Hall of Wins, with the dates in writing and the IRS letters attached. No client is named, and none of it is a promise about your filing.

The first clock

The registration is the fast part

Once the company name is settled, Wyoming moves quickly. One client was told the incorporation would take one to three days; another's message reads, in the team's own words, got incorporated within 24 hours.

Wyoming LLC incorporated within 24 hours on April 30, operating agreement and certificate PDFs delivered, then the EIN issued five days after filing with the CP575 letter attached
Incorporated within 24 hours, documents delivered, and the EIN five days behind it. The client's reply: that was really fast.

What lands at this stage is real paperwork, not a confirmation email: the stamped Articles of Organization from the Wyoming Secretary of State, plus the operating agreement banks will later ask for.

Whether you need the company at all is the first question. The call answers it before any filing exists.

The second clock

The EIN record: 4 to 12 days, dates in writing

The EIN is the number everything else waits on, because banks will not open a business account without it. It is also the step where the record is most worth reading, because the published cases run faster than most people expect.

The fastest case in the record: applied on the 12th of October, issued on the 16th, four days, with the IRS 147C letter attached to the message.

Six days in July, the IRS fax cover sheet in view. The client's words: thank you so much for this swift service.

The rest of the wall fills in the corridor: five days in June, seven in August, eight in February, nine, ten, eleven and twelve across the winter months, and one case that took just under a month.

When an eight-day case landed, the team's own comment was that it might be one of the fastest they had seen.

Wyoming registration approved January 30, EIN issued February 6, eight days start to finish, which the team calls possibly one of the fastest they have seen
Registration January 30, EIN February 6. Eight days.

Quoted processing windows for EINs are usually given in weeks, and that remains the honest way to plan.

Read the record above as what happened when correctly prepared filings met the IRS queue, not as a new promise: the same wall also holds the under-a-month case.

What lands in your hands

Certificates, agreements, and the IRS letter

A finished formation is a folder, not a feeling. Across the record the same four documents arrive in the client channel: the stamped Articles of Organization, the operating agreement, and then the EIN confirmation from the IRS, as a CP575 assignment letter or a 147C fax.

What follows in the record is the reason the company exists at all: within days of the EIN, clients open banking and payments.

One message shows a Mercury business account welcome two days after the EIN was issued; another client's first move was Stripe. The in-person side of that road is mapped in the ITIN and US bank account guide.

The honest part

What these screenshots do not show

The published record is the successful subset, so here is the frame around it.

The IRS owns the EIN queue. The four-day case and the under-a-month case sit on the same wall, and nothing a preparer does chooses between them. Quoted windows in weeks are the honest planning basis; the record shows how often reality came in faster.

A formed company is not yet a banked company. Accounts, cards and payment processors are their own steps with their own requirements, which is exactly what the clients in these messages moved on to next.

And the engagement is advisory: the paperwork is prepared and filed for you, the state and the IRS decide. First Class Citizen set out their US LLC service here, and the full US LLC guide explains the mechanism from structure choice to maintenance.

The name, the state and the paperwork are decisions. The call gets them right before the clocks start.

FAQ

How fast does a US LLC actually form for a non-resident?
In the published First Class Citizen record, Wyoming registrations were approved within roughly one to three days of the name being settled, and one case states incorporation within 24 hours. The stamped Articles of Organization and the operating agreement arrive at this stage.
How long does the EIN really take?
The published record shows EINs issued 4 to 12 days after filing across many cases, with one case completing in just under a month. Official processing windows are quoted in weeks, and the IRS controls the queue, so plan on weeks and read the record as what correctly prepared filings achieved.
What documents do you actually receive?
Four things appear across the record: the stamped Articles of Organization from the Secretary of State, the operating agreement, and the EIN confirmation from the IRS as a CP575 assignment letter or a 147C fax letter. Banks ask for all of them.
Is it always Wyoming?
Nearly every formation in the published record runs through Wyoming, which is the structure their service is built around. One Delaware registration also appears in the record, so other states exist as cases rather than as the standard route.
Are these results guaranteed?
No. Every timeline here is an individual outcome published on the First Class Citizen Hall of Wins. The state and the IRS make the decisions and set the pace, and slower cases than the ones shown exist.
